These Terms of Service ("Terms") govern your use of the CodeMaya website and any services we provide. By accessing our site or engaging our services, you agree to these Terms.
Engagements and SOWs
Project specifics—including scope, pricing, deliverables, and timelines—are defined in a mutually signed Statement of Work (SOW). If there is a conflict between these Terms and an SOW, the SOW controls for that engagement.
Intellectual property
Upon full payment, you own the deliverables outlined in your SOW. We retain ownership of our pre-existing tools, frameworks, and know-how, which may be used to deliver your project.
Confidentiality
Both parties agree to keep confidential information secret and use it only to perform the engagement. Mutual NDAs are available on request and may be included within the SOW.
Warranties and disclaimers
We warrant services will be performed with reasonable skill and care. Except as expressly stated, services are provided “as is,” and we disclaim other warranties to the extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages. Total liability is limited to the fees paid for the services giving rise to the claim.
Payment terms
Invoices are due per the SOW. Late payments may pause delivery until balances are resolved.
Acceptable use
You agree not to misuse our services. This includes, for example, attempting to access systems without authorization, interfering with or disrupting the integrity or performance of the services, or violating applicable laws.
Support and maintenance
Unless otherwise stated in an SOW, support and maintenance services are available on a time-and-materials or retainer basis, subject to separate terms.
Term and termination
Either party may terminate an engagement as specified in the SOW. Provisions that by their nature should survive termination (e.g., ownership, confidentiality, limitation of liability) will remain in effect.
Changes to these Terms
We may update these Terms from time to time. Updates will be posted on this page with the year noted above. Continued use of the site or services after an update constitutes acceptance of the revised Terms.
Definitions
- Deliverables: Work products expressly identified in an SOW as part of the project outcome.
- Pre-existing IP: Skills, templates, utilities, and frameworks developed prior to or independent of your engagement.
Governing law
These Terms are governed by the laws of California, USA, without regard to conflict of law provisions.
